Digital Artwork License

Simple Digital Artwork License Agreement

This License Agreement (“Agreement”) is made effective as of the Date of Purchase, by and between Purchaser and record7.

1. Definition of Artwork:
The artwork covered by this Agreement is titled “[Artwork Title]” and is further defined as the digital image file provided by the Licensor, including any accompanying metadata and documentation.

2. Grant of License:
Licensor hereby grants to Licensee a non-exclusive, non-transferable license to use the Artwork subject to the terms and conditions of this Agreement. This license allows the Licensee to:

  • Display the Artwork digitally on personal devices and personal websites.
  • Use the Artwork for personal, non-commercial purposes such as personal profile pictures or as part of a personal collection.

3. Restrictions:
Licensee shall not:

  • Modify, alter, adapt, or create derivative works based on the Artwork for resale.
  • Distribute, sublicense, lease, or sell the Artwork to third parties.
  • Remove any copyright or proprietary notices or labels on the Artwork.

4. Copyright and Ownership:
Licensor asserts that they are the sole owner of the Artwork and hold all intellectual property rights to it. Licensee acknowledges that the Artwork is protected by copyright and other intellectual property laws.

5. Term and Termination:
This Agreement is effective until terminated by either party. The Licensee can terminate the Agreement by ceasing all use of the Artwork and deleting all copies. The licensor can terminate the Agreement if Licensee breaches any terms.

6. Disclaimer of Warranties:
The Artwork is provided “as is,” and the Licensor makes no warranties regarding the quality, suitability, or accuracy of the Artwork.

7. Limitation of Liability:
Licensor shall not be liable for any damages resulting from the use of the Artwork.

8. Governing Law:
This Agreement shall be governed by the laws of Fresno City, Fresno County, California.

9. Entire Agreement:
This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings or agreements on the subject matter.

10. Acknowledgement:
By using the Artwork, the Licensee acknowledges that they have read this Agreement, understand it, and agree to be bound by its terms and conditions.
